1. Introduction

Welcome to Airgap Voice ("the Application," "Software," "we," "us," or "our"). By downloading, installing, or using Airgap Voice, you ("User," "Customer," or "Licensee") agree to be bound by these Terms of Service ("Terms").

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, do not use the Application.

2. The Service & Zero-Data Architecture

2.1 Nature of the Software

Airgap Voice is a local-first, offline voice transcription utility designed for privacy and security. It processes audio data exclusively on your local device using embedded artificial intelligence models.

2.2 Zero-Retention Policy

We adhere to a strict "Zero-Data" architecture. You acknowledge and agree that:

We do not collect, store, transmit, or have access to your audio recordings, transcripts, or personal data.
The Application operates without an internet connection for its core transcription functionality.
You are solely responsible for backing up your data. We cannot recover any lost data because we do not possess it.

3. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to download, install, and use the Application.

3.1 App Store Terms (Standard License)

If you acquired the Application via the Apple App Store, your license is also subject to Apple’s Licensed Application End User License Agreement (EULA). In the event of a conflict between these Terms and the Standard EULA, these Terms shall control specifically regarding privacy and data ownership.

3.2 Enterprise & Direct Licenses (Perpetual / Site License)

If you purchased a direct license (e.g., "Government Edition," "Enterprise Site License") from us:

Perpetual Use: You are granted a perpetual right to use the specific version of the Software you purchased.
Air-Gapped Usage: You may install and use the Software on air-gapped, offline, or high-security systems.
Seat Limit: You may install the Software on the number of devices or seats specified in your Order Form or Invoice.

4. User Responsibilities & Restrictions

You agree not to:

Reverse Engineer: Decompile, reverse engineer, disassemble, or attempt to derive the source code of the Application, except as permitted by applicable law.
Unlawful Use: Use the Application for any illegal purpose or in violation of any local, state, national, or international law.
Circumvention: Attempt to bypass any security measures or license validation mechanisms (if applicable) of the Software.

5. Intellectual Property

5.1 Our Rights

The Application, including its code, design, interface, and trademarks ("Airgap Voice"), is the exclusive property of Airgap Voice and is protected by copyright and intellectual property laws.

5.2 Your Rights (Data Sovereignty)

You retain 100% ownership of all data you generate using the Application, including audio recordings and text transcripts. We claim no intellectual property rights over your content.

6. Updates and Support

6.1 App Store Updates

For App Store users, updates are delivered automatically via the Mac App Store. We reserve the right to modify or discontinue features in future updates.

6.2 Enterprise Support

For Enterprise/Direct License holders, support and updates are governed by the specific Support Level Agreement (SLA) attached to your purchase. In the absence of an SLA, updates for offline versions must be manually downloaded and installed.

7. Warranty Disclaimer

THE APPLICATION IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APPLICATION WILL BE ERROR-FREE, THAT TRANSCRIPTION WILL BE 100% ACCURATE, OR THAT IT WILL MEET YOUR SPECIFIC REQUIREMENTS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APPLICATION.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APPLICATION IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Export Compliance

You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in a country subject to a U.S. Government embargo or designated by the U.S. Government as a "terrorist supporting" country.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of California, USA, without regard to its conflict of law principles.
